BasePerp Terms of Service

The BasePerp website and interface are available at: https://baseperp.org/ (the "Interface").

The Interface is a user-facing application that helps you discover information and submit requests to interact with the BasePerp protocol (the "Protocol"). The Protocol consists of smart contracts and related code deployed on public blockchain networks and is designed to operate in a decentralized, permissionless environment.

These Terms of Use (the "Terms") govern your access to, and use of, the Interface. By using the Interface, you agree to these Terms and to our Privacy Policy (the "Privacy Policy"), which is incorporated by reference.

ARBITRATION NOTICE: THESE TERMS INCLUDE A DISPUTE RESOLUTION PROVISION THAT MAY REQUIRE DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND INCLUDE A CLASS ACTION WAIVER. PLEASE READ SECTION 10 CAREFULLY.

Plain-language definitions

To help with readability, the following terms apply:

  • "BasePerp," "we," "us," "our," or the "Company" refers to the party making the Interface available.
  • "You" or "User" means any person or entity that accesses or uses the Interface. If you use the Interface for an organization, you confirm you are authorized to accept these Terms on its behalf.
  • "Interface" means the website and UI available at https://baseperp.org/.
  • "Protocol" means the smart contracts and related decentralized components that may be accessible through the Interface.
  • "Third-Party Services" means wallet providers, blockchain nodes/RPC endpoints, oracles, indexers, bridges, analytics tools, and any other external services you may use alongside the Interface.

1. Who can use the Interface

1.1 Legal capacity.

You may use the Interface only if you have legal capacity to enter into these Terms and you are not prohibited from using the Interface under applicable law.

1.2 Responsibility for legality.

You are responsible for understanding and complying with the laws and regulations that apply to you. You must not use the Interface in a way that violates laws, supports unlawful activity, or creates regulatory issues for the Company.

1.3 No solicitation.

The Interface is not intended to be an offer, solicitation, or marketing of any product or service where such activity is restricted or unlawful.

1.4 Sanctions and restricted parties.

You represent that you are not subject to sanctions and are not acting on behalf of any sanctioned or restricted person or entity.

1.5 Location controls and no bypassing.

Access may be restricted in some jurisdictions. You agree not to evade restrictions, including by masking your location or identity through VPNs, proxies, or similar methods.

2. Your compliance obligations

Using blockchain applications can trigger tax, reporting, and other legal obligations. You agree that:

  • you alone are responsible for any tax reporting and payments connected to your activity;
  • you alone are responsible for determining whether your activity is permitted where you live and where you access the Interface from; and
  • we do not provide legal, tax, financial, or regulatory advice.

3. Access, availability, and changes

3.1 Interface availability.

We may modify, suspend, or discontinue the Interface (in whole or part) at any time. We do not guarantee continuous availability.

3.2 Dependency risks.

The Interface and/or your interaction with the Protocol may depend on Third-Party Services. Outages, congestion, reorgs, oracle failures, node issues, or third-party disruptions may prevent you from using the Interface or may impact transaction outcomes.

3.3 No guarantee of execution.

Transactions you submit may fail, be delayed, be reordered, or be confirmed in an unexpected way due to network conditions or third-party behavior. We cannot reverse, cancel, or "fix" transactions once broadcast.

4. Rules for using the Interface

By accessing or using the Interface, you agree that you will not:

  • attempt to compromise the Interface, the Protocol, or any connected systems (including through malware, exploits, scanning, or denial-of-service techniques);
  • attempt to obtain another user's private keys, seed phrases, passwords, or wallet credentials;
  • misrepresent identity, ownership, location, or any information used to access the Interface;
  • use the Interface to engage in fraud, deception, or unlawful conduct;
  • violate applicable market integrity rules where they apply (for example, unlawful manipulation practices);
  • copy, scrape, or harvest data from the Interface at scale where it harms the service or violates applicable law; or
  • reverse engineer, decompile, or attempt to derive source code or non-public technical details from the Interface, except to the extent such restrictions are prohibited by law.

We may restrict access or take other action if we reasonably believe you are violating these Terms.

5. Non-custodial design and wallets

5.1 No custody.

The Interface and Protocol are non-custodial. We do not hold, control, or have access to your digital assets. You control your assets through your wallet.

5.2 Wallet responsibility.

You are responsible for selecting and securing your wallet, devices, private keys, and recovery phrases. If you lose access to your wallet, you may lose access to your assets. We cannot restore access or recover assets.

5.3 Third-party wallet terms.

Wallets and other Third-Party Services are governed by their own terms. We do not control them and are not responsible for their acts or omissions.

5.4 Optional compliance checks.

Where required by law or where reasonably necessary for risk management, we may request information to support compliance screening and may restrict access if information is not provided or if unlawful activity is suspected.

6. Risk disclosures and disclaimers

You acknowledge that interacting with decentralized protocols involves significant risk, including the risk of losing all funds involved.

Without limiting the above:

  • smart contracts may contain vulnerabilities or behave unexpectedly;
  • blockchain networks may experience congestion, delays, forks, or other disruptions;
  • third-party data (including price feeds and metrics) may be inaccurate, delayed, or manipulated;
  • markets for digital assets can be highly volatile; and
  • actions such as opening leveraged positions (if supported by the Protocol) can lead to rapid liquidation or losses.

No warranties.

To the fullest extent permitted by law, the Interface is provided "as is" and "as available", without warranties of any kind (express, implied, or statutory), including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or security.

No advice.

Information made available via the Interface (including articles, posts, tutorials, links, or data) is for general informational purposes only and should not be treated as professional advice.

7. Intellectual property and feedback

7.1 Interface rights.

The Interface, including its design, branding, and content (excluding third-party content), is owned by or licensed to the Company and protected by applicable intellectual property laws. You may not use our trademarks or branding without permission.

7.2 Limited permission to use.

We grant you a limited, revocable, non-transferable, non-exclusive permission to access and use the Interface for personal or internal business purposes consistent with these Terms.

7.3 Feedback.

If you submit suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation.

8. Indemnity

You agree to defend, indemnify, and hold harmless the Company and its affiliates, contributors, officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • your use of the Interface,
  • your breach of these Terms,
  • your violation of any law or third-party right, or
  • your use of Third-Party Services in connection with the Interface.

9. Limitation of liability

To the fullest extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill arising out of or related to your use of (or inability to use) the Interface.

Liability cap.

To the fullest extent permitted by law, the Company's total liability for any claim relating to the Interface will not exceed USD $100 in the aggregate.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Dispute resolution and class action waiver

10.1 Informal resolution first.

Before starting formal proceedings, you agree to contact us at contact@baseperp.org and provide a written description of the issue and the relief you seek. The parties will attempt to resolve disputes informally for at least 30 days.

10.2 Binding individual arbitration.

If a dispute is not resolved informally, you and the Company agree that disputes will be resolved through binding arbitration on an individual basis, not in court, except where small claims procedures are available or where injunctive relief is sought for alleged misuse of intellectual property rights.

10.3 No class actions.

You and the Company agree that disputes may be brought only in an individual capacity. Class actions, representative actions, and class-wide arbitration are not permitted.

10.4 Arbitration details.

The arbitration forum, seat, rules, and governing law will be specified in the arbitration notice published on https://baseperp.org/, to the extent permitted by applicable law.

11. Miscellaneous

Updates. We may update these Terms by posting a revised version on the Interface. Continued use after posting means you accept the updated Terms.

Severability. If any part of these Terms is held invalid or unenforceable, the remainder remains in effect.

No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.

Language. If these Terms are translated, the English version controls in the event of conflict.
